BIONE

Terms of Service

Effective date: 13 October 2026 · Last updated: 13 October 2026

These Terms of Service are the agreement between you and Bione for use of the Bione customer app and website. They cover what Bione is, what it is not, how orders and cashback work, and what each side owes the other. Bione connects you with independent shops — it does not sell you their goods. That distinction runs through the whole document, so please read section 4 even if you read nothing else.

1. Who these terms are between

These terms are between “BITO” mas’uliyati cheklangan jamiyati (“BITO” MChJ) ("Bione", "we", "us", or "our"), a company registered in the Republic of Uzbekistan at Toshkent shahri, Yakkasaroy tumani, Shota Rustaveli ko‘chasi, 53-uy, taxpayer identification number (STIR) 308393645, and you, the person using the service ("you").

Bione operates from Uzbekistan and provides a consumer platform through which you can browse independent local businesses, place orders with them, earn and spend shop-specific cashback, and leave reviews. It is offered as mobile apps for Android and iOS, as a website, and as a Telegram Mini App.

By signing in to Bione, you agree to these terms. If you do not agree to them, do not sign in and do not use the service. You may browse parts of the website and Mini App without an account; doing so is also subject to these terms.

You must be at least 18 years old to hold a Bione account. If you are younger, do not create one.

2. The service

Bione gives you one place to find local businesses that use the Bito ERP business system, see what they sell, order from them, and collect cashback with each of them. Depending on the shop, that may include online ordering with delivery or collection, paying in the app, showing a QR code at the counter, and earning cashback on purchases made in person.

Which features are available to you depends on the shop. Each shop decides independently whether it accepts online orders, whether it runs a cashback programme and at what rate, what it lists, and what it charges. We may add, change, or withdraw features of the platform itself at any time.

Bione is provided free of charge to you. We do not charge you a fee for holding an account, browsing, or earning cashback. The price you pay for goods is set by the shop.

3. Your account

3.1 Signing in

You can create an account and sign in with a phone number confirmed by SMS code, an email address confirmed by emailed code, or by connecting a Google, Apple, or Telegram account. Whichever you use, you are responsible for keeping access to it secure — anyone who can receive your SMS codes or open your linked accounts can reach your Bione account, your saved addresses, and your cashback.

3.2 Accurate information

Give accurate information and keep it current, particularly your phone number and delivery addresses. Shops rely on what you enter to fulfil orders, and a wrong address is not something we can correct after the fact.

3.3 One person, one account

An account is personal to you. Do not share it, sell it, or create multiple accounts to obtain cashback, referral rewards, or welcome bonuses more than once. We may merge, suspend, or close duplicate accounts and reverse any benefit obtained through them.

3.4 Losing access

If you lose access to the phone number, email address, or linked account you sign in with, you may lose access to your Bione account and to any cashback in it. We can help where we can verify who you are, but we cannot always restore access.

4. Shops are independent businesses

This is the most important thing in these terms. Bione is a platform, not a seller. Every shop on Bione is an independent business that operates its own premises, sets its own prices, holds its own stock, and is responsible for what it sells you.

When you place an order, your contract for those goods or services is with the shop, not with Bione. The shop is responsible for the quality, safety, description, legality, and fitness of what it supplies, for fulfilling your order, for delivery where it offers it, and for handling returns and complaints under its own policy and under Uzbek consumer law.

We do not inspect, endorse, or guarantee any shop, product, price, or availability. Catalogue and stock information reaches Bione from the shop's own business system and can be out of date or wrong. If a shop cannot fulfil an order it accepted, we can help you reach them and we will reverse the payment and cashback for that order, but we cannot supply the goods ourselves.

Complaints about goods or service go to the shop first. If a shop will not engage, contact us at the address in section 18 and we will do what we reasonably can, including removing a shop from the platform.

5. Orders and payment

5.1 Placing an order

Adding items to a cart is not an order. An order exists once you confirm it and, where the shop requires it, once the shop accepts it. Prices are shown in Uzbek soum and include any taxes the shop states. Delivery charges, minimum order values, and service areas are the shop's.

5.2 Paying by card

Card payments are processed through our payment gateway partner, ATMOS. When you save a card, you confirm it with a one-time code sent by your bank or by ATMOS. When you pay for an order, we place a hold on your card for the order amount and capture it when the order is paid. If an order is cancelled before capture, the hold is released — how quickly the funds reappear is up to your bank, not us.

We never ask for and never store your card's CVV. Section 3.4 of our Privacy Policy explains exactly what card data we do hold and why.

5.3 Paying in person

Where a shop supports it, you can pay at the counter and still earn or spend cashback by showing your Bione QR code to the cashier. The sale itself is between you and the shop under their own point-of-sale process.

5.4 Refunds

Refunds are the shop's decision under their policy and under Uzbek consumer law. Where a refund is made through Bione, we return the money by the route it came in and reverse the order's cashback both ways, as described in section 6.5.

6. Cashback

6.1 What cashback is

Cashback is store credit at one shop. It is not money, it has no cash value, it cannot be withdrawn, transferred to another person, or exchanged for cash.

6.2 Cashback does not move between shops

Your cashback balance is held separately for each shop. Cashback earned at one shop can only be spent at that same shop. There is no combined, platform-wide balance, and we cannot move a balance from one shop to another — the credit belongs to your relationship with that shop.

6.3 How it is earned

Each shop sets its own cashback rate and may run tiers that change the rate as you spend more with them. The rate that applies is the shop's rate at the time of the order. When you place an order, the cashback it will earn is shown as pending. It becomes spendable only when the order is paid. Pending cashback cannot be spent.

6.4 Shops control their own programme

A shop can change its cashback rate, change its tiers, or stop offering cashback at any time. It may also set an expiry on unused cashback. Changes apply going forward and do not retroactively re-price cashback you have already earned, but a shop that leaves Bione or closes takes its programme with it, and cashback at that shop may become unusable. Bione does not underwrite, guarantee, or buy out any shop's cashback.

6.5 Cancellations, refunds, and negative balances

If an order is cancelled or refunded, its cashback is reversed in both directions: cashback you earned on it is taken back, and cashback you spent on it is returned to you. If the amount taken back is larger than your current balance at that shop, the balance goes negative. While it is negative you cannot spend cashback at that shop until later earnings bring it back above zero. We do not ask you to pay money to clear a negative cashback balance.

6.6 Misuse

We may withhold, reverse, or cancel cashback, and suspend or close an account, where we reasonably believe cashback was obtained through duplicate accounts, fake or reversed orders, abuse of referral or welcome bonuses, collusion with a shop's staff, or any other manipulation.

7. Referrals and invitations

Some shops let you invite other people and earn cashback at that shop when someone you referred places a paid order. A referral is tied to one shop and to the terms in force when it was accepted; later changes to that shop's referral settings do not re-price a referral already in place.

You cannot refer yourself, and someone who is already a member of that shop's programme cannot be referred. Invitations are for people you actually know. Do not post invite links or codes to public listings, coupon sites, or bulk messaging, and do not send unsolicited messages to obtain referrals. We may cancel referral rewards and revoke invite links used this way.

8. Reviews, photos, and other content

You can rate and review shops and products you have used, and attach photos. What you post must be your own honest experience. Do not post anything false, defamatory, abusive, discriminatory, obscene, commercial, or that infringes someone else's rights, and do not include other people's personal information or images of people who have not agreed to appear.

Reviews with text or photos are held for moderation before they appear. We may decline, remove, or edit for length any content that breaches these terms, and we may remove content on a shop's reasoned complaint. We are not obliged to publish anything.

You keep ownership of what you post. By posting it you give Bione a non-exclusive, royalty-free, worldwide licence to store, display, reproduce, and adapt it for the purpose of operating and promoting the platform and the shop it concerns, for as long as the content remains published. Deleting a review ends that licence for future use.

A review is attributed to your display name. If you later delete your account, your reviews remain published but stop being connected to you — see section 11.

9. Acceptable use

Do not:

10. Suspension and termination

You can stop using Bione at any time and can delete your account from the app or at bione.uz/account-deletion.

We may suspend or close your account, withhold or reverse cashback, and refuse service where we reasonably believe you have breached these terms, where your account is being used fraudulently, where we are required to by law, or where continuing would expose us, a shop, or another user to legal or security risk. Where it is reasonable and lawful to do so, we will tell you why and give you a chance to respond. Serious cases — fraud, threats, unlawful activity — may be actioned immediately.

If we close your account, any cashback in it is forfeited. If you close it yourself, the same applies: cashback is store credit tied to your account and does not survive it.

11. Your data and deleting your account

What we collect and why is set out in our Privacy Policy, which forms part of your relationship with us.

You can ask us to delete your account at any time. When you do, we revoke your sessions immediately and erase your personal details after a thirty-day window during which you can change your mind by signing in and choosing to restore the account. Simply signing in does not cancel a deletion — you have to say so deliberately.

Some records survive deletion in anonymous form, because they no longer describe you but still have to balance for someone else: completed orders and their cashback history remain so that shops can account for sales that really happened, and published reviews remain visible to other customers. After erasure none of these are connected to your name, phone number, email address, or linked accounts.

A shop that received your order also holds its own record of that sale in its own business system. That copy is the shop's, governed by the shop's own privacy practices, and deleting your Bione account does not reach it. Ask the shop directly if you want it removed.

12. Intellectual property

The Bione platform, apps, website, design, and the Bione name and logo belong to us or our licensors. These terms give you a personal, non-exclusive, non-transferable, revocable licence to use the apps and website for their intended purpose. Nothing here transfers ownership of anything.

Shop names, logos, product images, and descriptions belong to the shops or their suppliers and are shown under permission given to us by the shop.

13. Availability and no warranty

We work to keep Bione available and accurate, but we provide it "as is" and "as available". We do not warrant that it will be uninterrupted, error-free, or secure against every threat, that catalogue, stock, price, or cashback information shown will always be correct, or that any particular shop or product will remain on the platform.

Bione depends on services we do not control — each shop's own business system, our payment gateway, SMS and email delivery, Telegram, Google, Apple, and network operators. Interruptions in those can interrupt Bione, and we are not responsible for them.

14. Limitation of liability

Nothing in these terms limits liability that cannot lawfully be limited, including liability for death or personal injury caused by our negligence, for fraud, or under mandatory Uzbek consumer-protection law.

Subject to that: we are not liable for the goods or services a shop supplies, for a shop's acts or omissions, or for loss you suffer because a shop failed to fulfil, mispriced, or misdescribed an order. We are not liable for indirect or consequential loss, lost profit, lost opportunity, or lost data. Our total liability to you for any claim arising out of your use of Bione is limited to the greater of the cashback balance affected and 1,000,000 soum.

Because Bione is provided to you free of charge, this allocation of risk is a fundamental part of the agreement between us.

15. Changes to these terms

We may change these terms. When we make a material change we publish the updated document with a new effective date and ask you to accept it the next time you use the app. You will not be able to continue using your account until you do, and if you would rather not accept, you can delete your account instead.

Minor corrections that do not change your rights or obligations — typos, clarifications, formatting — are published without prompting you.

16. Governing law and disputes

These terms are governed by the law of the Republic of Uzbekistan. If we cannot resolve a dispute between us, it will be heard by the competent courts of the Republic of Uzbekistan. Nothing here removes any right you have to bring a complaint before a consumer-protection authority.

We would much rather sort things out directly. Write to us at the address in section 18 first.

17. General

These terms, together with the Privacy Policy, are the whole agreement between you and Bione about the platform. If any part of them is found unenforceable, the rest continues to apply. If we do not enforce a right straight away, we do not lose it. You may not transfer your rights under these terms; we may transfer ours to a successor of our business, and will tell you if we do.

These terms are published in Uzbek, Russian, and English. If the versions differ, the Uzbek version governs.
